Strategic Focus
Our channel based strategy is focused on enabling selected IT-Managed Service Providers to accelerate near term profitability and sustained high margin sales growth by leveraging a highly differentiated business model; becoming THE source of SaaS based collaboration/video conferencing solutions with the ability to deliver secure SaaS based solutions to large and SMB customers alike on an exclusive basis.
The opportunity involves the purchase of a license agreement, with a nominal up-front payment and the remainder due upon deployment. The projected return, a minimum 3 to 1 in twelve months and double that in year two forward, is based on equipping our selected partner with a unique internal collaboration solution with maximum functionality capable of serving the collaboration needs of small through large customers. This will allow our partners to leverage highly differentiated marketing and pricing strategies and recurring revenue only possible by being THE SaaS supplier, especially in the current difficult economic and competitive environment. Our intent is to grant exclusivity based on mutual agreement of regional and/or served market.
Background/History
AdriaComm is engaged in development of a new generation of products designed to support the transport of diverse data streams over IP, via Intranets/ Internet. AdriaComm is dedicated to development of systems that facilitate real-time multi-point communications (voice, video, and data) over high-speed IP networks. The Company has developed and possesses detailed knowledge in real time communications standards (H.323/SIP), networking, encryption, firewall and overall networking software development.
The Company has solved an industry wide problem and patented the solution enabling ITU/IEEE standards based Audio/Video communication protocol streams to seamlessly and securely traverse any firewall in the Internet or the corporate LAN firewall.
AdriaComm's standards based SaaS internet collaboration solution reflects over eight years of development by seasoned and talented engineers experienced in delivering high functionality, ease of use and extremely secure technology.
The company has established a successful base of customer deployments which has, and continues to, contribute to market research and product planning efforts and represents a source of reference accounts which affords validation of the technology, it's benefits and ROI. This experience and know-how further provides the basis for AdriaComm to function very effectively in both sales and product related support of both partners and end users.

Guido DiGregorio Chairman & CEO
Mr. DiGregorio brings 30 years of experience at the CEO level of responsibility, recruited by six companies, successfully establishing or restoring profitability and accelerating profitable growth with mostly Hi-Tech early and later stage businesses, private and public, serving corporate & consumer markets. All of the companies succeeded in getting to the next level, going public or being acquired by strategic buyers.
Most recently, 1998-2010, he was Chairman & CEO of Communication Intelligence Corp and its JV, CIC China, where he led efforts to become the leading supplier of handwriting recognition software for hand-held computers & mobile devices. As a result, CIC generated well over a billion dollars in investor profits.
Mr. DiGregorio further focused on the upside potential of eTransactions expanding the technology to lead in introducing electronic signature solutions allowing secure paperless processes on-premise and through hosted/SaaS deployments. This included successfully establishing a strong base of reference accounts including 2 of the top five banks and 6 of the top insurance companies and winnings bundle agreements with targeted top-tier solutions providers such as CSC, Oracle and Fiserv providing basis for significant recurring revenue thereby positioning CIC to benefit from the burgeoning $Billion electronic signature market as it enters takeoff.
Mr. DiGregorio' s prior CEO experience includes Display Technologies Inc., high resolution monitors; Proxim Corp., wireless data communications; Maxitron Corp., manufacturing automation computers, and Exide Electronics, computer power conditioning.
He began his career with GE, achieved successive promotions through various multifunctional responsibilities, and rose to the position of General Manager of a worldwide factory automation business. He has a BSEE from Trine University and is a graduate of GE's Financial Management Program.
Ned Krtolica Chief Technology Officer
Mr. Krtolica has over 25 years of experience in software design and engineering. His early training and experience have been centered on international business application development for industrial production and inventory management, across multiple computer languages and operating systems.
He has focused development efforts on AdriaComm products for over eight years leveraging his own capital, experience and relationships gained from the founding of several companies in the US and Europe. The first, BBN Systems founded in Europe in 1989, specialized in finance and production software applications for mid-size manufacturing firms with enhanced point-of-sale capabilities.
After selling the company, Mr. Krtolica moved to the United States, and subsequently founded Cromerica Technologies, LLC. Cromerica developed computer-telephony software applications for major Silicon Valley based call center companies such as Aspect Communications, AT&T Labs, Shiva, e-Talk, Lucent and several others. During this period, the company grew to over $5.5 million and was sold in 2001 after which Mr. Krtolica served as co-founder of VivoCom, Inc., where he held the position of VP of Technology.
During this period, Mr. Krtolica became increasingly aware of the new emerging market in Voice and Video IP and founded AdiaComm to pursue the burgeoning opportunity.
Mr. Krtolica holds a BS in Business and MS in Computer Science from the University of Zagreb, Zagreb, Croatia. He holds two US patents 7,360,243 Standard Based Firewall Adapter for Communication System and Methods and US patent 7,587,758 Systems and Methods for Distributing Data Packets over a Communication Network. Several others patents are pending.
Bill Tauskey
Vice President - Sales and Marketing
Mr. Tauskey is a seasoned executive with over 25 years of sales/marketing and general management experience bringing a demonstrated track record of delivering multi million dollar revenue grow for high tech firms, ranging from start-up's to F100 companies. Results include achieving a 1st year revenue stream for a brand new company/product line of $35 million (with exclusive sales through the channel) to being part of a team that took a F100 company's OEM business from $500 Million/yr to over $4 Billion/yr during a four year period.
Key to delivering the revenue growth results is his experience and understanding of how to develop end user demand and establishing productive relationships with channel partners to realize sales opportunity. Having hired, trained and managed successful sales and marketing teams himself, Mr.Tauskey, knows firsthand what it takes to go from 'market potential' to consistent and predictable sales revenue streams. Experience in designing and successfully executing revenue growth programs, image building, channel partners programs, and establishing and leveraging executive level relationships for new and emerging market segments is a is part of the value he brings to the AdriaComm opportunity.
Mr. Tauskey's career began with over 10 years in sales and marketing management positions at IBM which then progressed to management positions in both computer software and hardware companies and then on to high tech management consulting focused on emerging market opportunities. He has a BS from the Virginia Military Institute, a MS from Texas A&M University and is a graduate of IBM's Executive Management Program.
Frank Dane
Chief Financial Officer
Mr. Dane functions as the Company's Chief Financial Officer and through his formal training and 30 years of experience he brings a unique combination of multi-disciplinary perspective and skills to the team. Trained as an attorney and certified public accountant Mr. Dane spent the first decade of his career with PricewaterhouseCoopers. As a Senior Manager he established that firm's Entrepreneurial Services Division in its San Jose, California office during the height of the Silicon Valley Revolution. More recently he served as the Chief Financial Officer and Chief Legal Officer of Communication Intelligence Corporation teaming up with Mr. DiGregorio resulting in that company becoming the leading supplier of handwriting recognition software for hand-held computers and mobile devices.
Mr. Dane has served companies from start-up to IPO and beyond in a variety of industries with extensive experience in software and communications. As Chief Financial and Legal Officer for a public company, Mr. Dane, has been responsible for all aspects of finance, accounting and internal reporting, intellectual property protection, administration, legal, SEC reporting and compliance, human resources, investor relations and corporate communications. Mr. Dane has funded company operations by consummating license agreements resulting in multi-million dollar upfront license fee payments; he has also led numerous public and private financings in the US and Canada.
Mr. Dane's broad based experience and training allows him to quickly assess all aspects of a company and rapidly develop and implement practical solutions to strengthen infrastructures and operations. He is high energy, maintains a strategic perspective and couples that with a hands-on approach and a process orientation all aimed at increasing value for the company.
In addition to his business experience, Mr. Dane has taught accounting and corporation finance at several traditional universities as well as teaching the Becker CPA review course. He has also taught at the University of Phoenix - Graduate School of Business and at the Keller Graduate School of Management, DeVry University.
Mr. Dane received his law degree from Santa Clara University, a Masters of Science in Accounting from the University of New Haven and a BS in Social Science and Education from Southern Connecticut State University. He is a member of the State Bar of California and a certified public accountant in the state of California.
